Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of tidewaterems.org (the "Site"), including any related registration, membership, payment, event, or expo services offered by the Tidewater EMS Council, also known as Region 7 EMS Council ("Council," "we," "us," or "our"). By accessing the Site, creating an account, submitting a form, registering for an event, or making a purchase or payment through the Site, you ("you" or "User") agree to be bound by these Terms. If you do not agree, do not use the Site or its services.

2. Other Policies Incorporated by Reference

In addition to these Terms, your use of the Site and participation in Council events, programs, and services may be subject to the following policies, each of which is incorporated into these Terms by reference and available on the Site's Resource Center:

• Communicable Disease Code of Conduct
• Event Privacy, Recording & Communications Consent
• Non-Discrimination & Anti-Harassment Policy
• Waiver and Release of Liability for Communicable Disease

Where a specific policy addresses a topic in more detail than these Terms (for example, the Waiver and Release, which may require a separate signature or acknowledgment), that policy governs on that specific topic. In the event of a direct conflict between these Terms and one of the policies listed above, the more specific policy controls for the subject it covers.

3. Accounts and Membership

Certain features of the Site, including registration for events, access to member resources, or exhibitor/speaker submissions, may require you to create an account. You agree to:

• Provide accurate, current, and complete information when creating an account or submitting any form;
• Maintain the security of your login credentials and notify us promptly of any unauthorized use;
• Be responsible for all activity that occurs under your account.

We reserve the right to suspend or terminate any account that violates these Terms, provides false information, or is used in a manner that disrupts Site operations or Council events.

4. Registration, Purchases, and Payments

The Council offers various paid registrations, memberships, exhibitor/sponsor packages, and merchandise through the Site. By submitting payment, you represent that you are authorized to use the payment method provided and that the information you supply is accurate.

All prices are listed in U.S. dollars unless otherwise noted. The Council reserves the right to correct pricing errors and to modify pricing for future registrations or products at any time.

5. Refund Policy

5.1 General Policy

All sales and registrations through the Site are final. The Tidewater EMS Council does not offer refunds.

At the sole discretion of the Tidewater EMS Council, a refund may be granted on a case-by-case basis. Any refund approved under this discretionary provision will be issued less any transaction fees incurred in connection with the original payment (including, but not limited to, payment processor and card network fees). Requests for discretionary refunds may be submitted to tidewater@vaems.org and will be reviewed on a case-by-case basis. Submission of a request does not guarantee approval.

5.2 Tidewater EMS Healthcare Expo Refunds

For registrations, exhibitor packages, sponsorships, or other purchases related to the Tidewater EMS Healthcare Expo, the following refund schedule applies in place of the general discretionary policy above:

• Requests received before April 1 of the event year will be granted, less any applicable transaction fees.
• Requests received on or after April 1 of the event year will not be granted, regardless of reason, including but not limited to inability to attend, schedule conflicts, illness, or weather.

Refund requests must be submitted in writing to tidewater@vaems.org prior to the applicable deadline. The date the request is received by the Council governs, not the date of purchase or the date of the event.

5.3 No Transfers Assumed Automatically

If you are unable to attend an event or use a registration you purchased, please contact us at tidewater@vaems.org to discuss whether a transfer to another individual or a future event is available. Transfers are not guaranteed and are handled separately from refunds.

6. Exhibitor, Sponsor, and Speaker Submissions

Exhibitor applications, sponsorship agreements, and speaker/presenter submissions (including those submitted through Council-managed forms) may be subject to additional terms, deadlines, and approval requirements communicated at the time of submission. Submission of an application or proposal does not guarantee acceptance. Fees paid in connection with an exhibitor or sponsor package are subject to the refund terms in Section 5.

7. User Conduct

You agree not to:

• Use the Site for any unlawful purpose or in violation of these Terms;
• Submit false, misleading, or fraudulent information in any registration, application, or form;
• Attempt to gain unauthorized access to the Site, other user accounts, or Council systems;
• Interfere with or disrupt the operation of the Site or its underlying infrastructure;
• Use automated means (bots, scrapers, etc.) to access or collect data from the Site without our prior written consent.

8. Intellectual Property

All content on the Site, including text, graphics, logos, images, and software, is the property of the Tidewater EMS Council or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from Site content without our prior written permission, except as necessary to use the Site for its intended purpose.

9. Third-Party Links and Services

The Site may contain links to third-party websites or integrate with third-party services (including payment processors and form providers). We are not responsible for the content, policies, or practices of any third-party site or service. Your use of third-party services is subject to their own terms and policies.

10. Disclaimers

The Site and all services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free.

11. Limitation of Liability

To the fullest extent permitted by law, the Tidewater EMS Council and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site or participation in any Council event, program, or service, even if advised of the possibility of such damages. Our total liability for any claim arising from these Terms or your use of the Site shall not exceed the amount you paid to the Council in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless the Tidewater EMS Council and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Site, your violation of these Terms, or your violation of any rights of a third party.

13. Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Virginia.

14. Changes to These Terms

We may update these Terms from time to time. The "Effective Date" at the top of this page will reflect the date of the most recent revision. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
